Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Billytics AI-based application (“Service”), provided by Billytics (“we,” “our,” or “us”). By accessing or using the Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must refrain from using the Service.

2. Definitions

  • “Service”: Refers to the AI-based application developed and provided by Billytics for automated data extraction and analysis.
  • “User,” “You,”: The individual or entity accessing or using the Service.
  • “We,” “Our,” “Billytics”: Refers to the company providing the Service.
  • “Data”: Any personal, financial, or non-personal data, including but not limited to name, contact information, and behavioral data, provided or collected through the use of the Service.

3. Eligibility and Registration

  • Age Requirement: You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Service. By using the Service, you represent that you meet these eligibility requirements.
  • Account Creation: To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information and keep your account details secure.
  • Account Security: You are responsible for safeguarding your account credentials. You must notify us immediately if you suspect any unauthorized access to your account.

4. License to Use the Service

  • License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for lawful purposes and in accordance with these Terms.
  • Restrictions: You may not reverse-engineer, decompile, disassemble, modify, or attempt to gain unauthorized access to the Service or any associated systems. You must not use the Service to engage in illegal activities, such as data scraping, unauthorized data access, or any other unlawful actions.

5. Data Collection and Use

  • User Data: By using the Service, you consent to the collection, use, and storage of your data, including personal data, as outlined in our Privacy Policy. Data collected may include personal information, behavioral data, device identifiers, and usage patterns.
  • Purpose: We use this data to improve the Service, personalize your experience, and enhance our AI algorithms.
  • Storage: Data is encrypted and stored with our cloud provider, AWS, and may be shared with third-party services in accordance with the Privacy Policy.
  • Data Rights: You retain ownership of your data. However, by using the Service, you grant us a license to use your data for the purposes of providing and improving the Service. You may request the deletion of your data at any time.
  • Email Monitoring: Billytics doesn’t automatically search over inbox; it only does so based on a user’s action (like when a user creates a manual job or allows us to monitor their email accounts).
  • AI Data Processing: Data is sent to an AI model (Gemini) for detailed extraction and analysis.
  • Analytics: To improve the app and website, metadata or usage patterns are collected through Google Analytics.

6. User Responsibilities

  • Lawful Use: You agree to use the Service only for lawful purposes and in a manner consistent with these Terms and applicable laws.
  • Prohibited Activities: You may not:
    • Violate any laws, regulations, or third-party rights.
    • Upload or transmit any harmful content, including malware, viruses, or spam.
    • Attempt to interfere with the normal operation of the Service.
    • Use the Service in any way that could harm, disable, overburden, or impair its functionality.

7. Global Data Transfer

  • By using the Service, you agree that your data may be transferred, stored, or processed in servers located outside your country of residence.
  • We comply with applicable data protection laws; however, you acknowledge that different jurisdictions may have varying levels of data protection.

8. Pricing and Payment

  • Prepaid Service: Our Service is provided on a prepaid basis. You must pay for the Service upfront, and it is non-refundable unless a trial or refund policy is specifically offered.
  • Billing: By subscribing to the Service, you agree to pay the applicable fees, which may vary depending on your selected plan. All fees are exclusive of applicable taxes.

9. Refund and Cancellation Policy

  • Refund Policy: As our Service is prepaid, it does not qualify for a refund unless we explicitly offer a trial period or a refund in the event that the user is not satisfied with the Service. Specific terms regarding trials or refunds will be communicated at the time of purchase.
  • Cancellations: You may cancel your subscription at any time. If you cancel before the end of the current billing period, you will not be charged for the following period, but no refunds will be provided for the current billing period.

10. Intellectual Property

  • Ownership: All content, designs, trademarks, and intellectual property related to the Service are owned by Billytics or its licensors.
  • Limited License: You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

11. Third-Party Services and Integrations

  • Third-Party Providers: The Service may include links to third-party services or integrate with third-party platforms. These third-party services are governed by their own terms and privacy policies, and you agree to abide by them when using such services.
  • Examples of Third-Party Services: Google Analytics, Stripe (payment processor), AWS (cloud storage).
  • No Responsibility: Billytics is not responsible for the content, privacy practices, or actions of third-party services. You use these services at your own risk.

12. Service Availability and Disruptions

  • Service Downtime: While we strive to ensure that the Service remains available, we cannot guarantee uninterrupted access. The Service may experience downtime due to maintenance, upgrades, or external factors beyond our control.
  • No Liability: Billytics is not liable for any damages resulting from service disruptions, including loss of data or interruption of service.

13. Force Majeure

Billytics shall not be liable for any failure to perform due to causes beyond our reasonable control, including but not limited to natural disasters, strikes, wars, or technical failures.

14. Account Suspension and Deletion

  • Right to Suspend or Delete Accounts: The Owner reserves the right, at its sole discretion, to suspend or delete User accounts at any time and without prior notice if the account is deemed to be inappropriate, offensive, or in violation of these Terms and Conditions.
  • No Claims for Compensation: The suspension or deletion of a User’s account shall not entitle the User to any claims for compensation, damages, or reimbursement, including any loss of data or access to the Service.
  • Payment Obligation: Users whose accounts are suspended or deleted for causes attributable to them (such as violating these Terms) remain responsible for any applicable fees or payments due for the use of the Service, and no refunds will be provided.

15. Dispute Resolution

  • Complaints: If you have a dispute or complaint, you may contact the owner of Billytics at [email protected] with detailed information about the issue. We will make reasonable efforts to resolve the matter and provide a resolution.
  • Online Dispute Resolution (ODR): If the dispute cannot be resolved directly, users may opt to use Online Dispute Resolution (ODR) methods to resolve issues outside of court.

16. Limitation of Liability

To the fullest extent permitted by law, Billytics is not liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of profits, data, goodwill, or reputation.
  • Any financial damages exceeding the amount you paid for the Service in the last six (6) months. This limitation applies regardless of the legal theory or cause of action.

17. Indemnification

You agree to indemnify and hold harmless Billytics, its employees, affiliates, and agents from any claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or any third-party claims arising from your actions.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on this page. You will be notified of significant changes, and continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any disputes or claims arising from these Terms shall be resolved in the courts of Ottawa, Ontario.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms constitute the entire agreement between you and Billytics regarding the Service. Any prior agreements, communications, or understandings are superseded by these Terms.

22. Feedback and Suggestions

Any feedback, suggestions, or ideas you provide regarding the Service shall become the exclusive property of Billytics, and we may use such feedback without any obligation to you.
